1. Agreement

By creating an account or using MainDesk, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the service.

2. Service and eligibility

MainDesk is provided as a subscription service for organisations and authorised users. You must be legally capable of entering into a binding agreement and must use the service only for lawful business purposes.

3. Accounts and security

  • You are responsible for account credentials and access control.
  • You must provide accurate information and keep it current.
  • You must notify us promptly of unauthorised access or security incidents.

4. Subscription billing

  • Subscriptions are billed in advance on a recurring basis.
  • You authorise us and our payment processor to charge applicable fees.
  • No refunds: all payments are non-refundable to the maximum extent permitted by law, including partial periods and unused time.

5. Price changes

We may change subscription pricing at any time. If pricing changes affect your plan, we will provide at least 30 days' prior notice before the new price takes effect. Continued use after the effective date means you accept the updated price.

6. Restrictions on use

You must not:

  • Resell, sublicense, lease, or commercially exploit the service without written permission.
  • Copy, reverse engineer, decompile, or attempt to extract source code.
  • Bypass security controls, role permissions, or usage limits.
  • Upload malicious content or interfere with service operation.
  • Use the service in violation of applicable laws or third-party rights.

7. Intellectual property

MainDesk and its underlying technology, content, branding, and software are owned by us or our licensors. These Terms grant a limited, non-exclusive, non-transferable right to use the service during an active subscription.

8. User content and data

You retain rights to your organisation's data. You grant us a limited licence to host, process, and transmit data solely to provide and improve the service.

9. Suspension and termination

We may suspend or terminate access for non-payment, security risks, abuse, or violations of these Terms. You may stop using the service at any time, but fees already paid remain non-refundable.

10. Disclaimers

The service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, including fitness for a particular purpose, merchantability, and non-infringement.

11. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill. Our total aggregate liability is limited to fees paid for the service during the 12 months before the event giving rise to the claim.

12. Changes to terms

We may update these Terms from time to time. If changes are material, we will provide notice. Continued use after updates means you accept the revised Terms.
